Divisional Counsel

Job Description

The Hexagon Safety & Infrastructure Legal Department for the Americas provides advise, legal assistance, and support to business stakeholders operating throughout North America. The selected candidate will report to the Regional Divisional Counsel and be expected to closely work with the business stakeholders to identify their intended results and provide sound legal and transactional guidance to fulfill those goals.

Typical duties will include:

  1. Supporting business stakeholders in negotiations with customers on software licensing, SaaS, services, and support agreements;
  2. Evaluating business and legal risks of various transactions and offering potential mitigations and guidance;
  3. Participating in cross business groups to advance specific transactions;
  4. Provide legal support to various departments within the division; and
  5. Provide guidance and ensure conformance with Hexagon policies and compliance programs.

The intended candidate should have approximately one to six years of legal experience. However, candidates with exceptional and greater credentials may be considered. Candidates should have experience at a private law firm and engaged in commercial transactions and/or litigation. Experience involving software and technology transactions or litigation is not required, but if the candidate has such experience, the candidate is encouraged to describe such experience in the cover letter or resume.

Responsibilities

  • Assist and advise business stakeholders on achievement of intended business outcomes
  • Draft, review, negotiate, and administer commercial technology agreements related to the provision of software and services, including, licensing, SaaS, and maintenance agreements
  • Negotiate contracts in conjunction with business and technology personnel
  • Add value throughout the sales process and post-signature contract management, including review and negotiation of project proposals, contracts, and amendments, familiarizing delivery teams on exceptional provisions in negotiated contracts, and advising project managers with respect to contract terms
  • Provide legal support and guidance to supervisory management and other business executives
  • Ensure compliance with corporate and divisional policies, and acceptable risk standards
  • Liaise with internal stakeholders to promote sound business decisions
  • Assist in making updates to corporate legal strategy
  • Advise management of contractual rights and obligations and assist on requests for analysis of contracts in connection with other business transactions
  • Actively identify and drive improvements to contract risk management and contracting efficiency
  • Train sales and delivery teams to enhance their working knowledge of contract risk management issues and mitigation paths over time
  • Research and guide internal stakeholders regarding new and updated legislation and regulations related to software licensing and data privacy and security

Qualifications

  • A minimum of 1 year of private practice experience is preferred.
    • If applicable, please highlight any experience involving software/technology transactions or technology litigation
  • Knowledge of the legal environment pertaining to State and Local governments
  • Ability to independently conduct legal research and provide practical guidance to business executives
  • Proficiency in MS Office suite
  • Strong client/stakeholder management skills
  • Ability to work independently on complex tasks
  • Ability and willingness to meet multiple time sensitive deadlines
  • Strong business acumen and ability to make sound judgments
  • Ability to deliver results with cross-functional teams and manage multiple initiatives simultaneously
  • Ability to travel when needed (less than 10% annually)
  • Intellectually curious, enthusiastic, and driven

Education

  • A completed bachelor’s degree. (Degree will be verified)
  • A legal degree is required, with an active license. (Degree and license will be verified)
